Terms of service

These Terms of Service (“Terms”) apply between Threll.ai AS, Org. no. 935 054 702 (“Threll.ai”, “we”, “us”, or “our”), and the business that registers to use the Service. By creating an account or using the Service, you confirm that you are acting on behalf of that business and are authorized to accept these Terms for it. If you do not agree to these Terms, you may not access or use the Service.

01Definitions

• Service: The Threll.ai software-as-a-service platform, including AI agents (“Thrells”), telephony services, content generation tools, and API access.
• Customer/You: The company, organization or sole proprietorship that registers to use the Service in the course of its business. The Service is not offered to consumers.
• Customer Data: Any data, content, contacts, or information provided by you to be processed by the Service.
• Output: The text, images, audio, code, or other content generated by the Service in response to your inputs.

02License & Access

Subject to your compliance with these Terms and payment of applicable fees, Threll.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You agree not to:

• License, sell, rent, or lease the Service to any third party.
• Reverse engineer, decompile, or attempt to derive the source code or underlying models of the Service.
• Use the Service to build a competitive product or service.
• Remove any proprietary notices or labels.

03AI Services & Accuracy

Threll.ai utilizes artificial intelligence technologies (including Large Language Models) to provide its Services. By using the Service, you acknowledge and agree that:

• Accuracy: AI Output may be inaccurate, incomplete, or misleading (“hallucinations”). You are solely responsible for reviewing, verifying, and editing all Output before use.
• No Professional Advice: The Service does not provide legal, financial, or medical advice.
• Fluidity: AI models are non-deterministic; the same input may yield different results at different times.

04Calls & Compliance

You decide who your Thrells call and talk to, and what they say. You are responsible for ensuring that your use of the Service complies with applicable law, including:

• AI Transparency: People must be told that they are talking to an AI system. You must not configure a Threll to conceal or deny that it is an AI, or to claim to be a human.
• Recording: The people on the call must be informed when calls are recorded, transcribed and analysed, and you must have a legal basis for doing so.
• Outbound Calls and Telemarketing: Marketing calls must comply with the rules of the country called, including do-not-call registers (such as Reservasjonsregisteret in Norway and NIX in Sweden), permitted calling hours, and any requirement of prior consent for calls made by automated systems.

05Intellectual Property

Customer Ownership: As between you and Threll.ai, you retain all rights to your Customer Data. Subject to full payment, you also own the rights to the Output generated by the Service for you, to the extent permitted by applicable law.

Threll.ai Ownership: We retain all rights, title, and interest in the Service, our pre-built “Threll” personas, templates, algorithms, software, and usage data (in anonymized/aggregated form). Usage data does not include the content of calls, which we process only as set out in the DPA.

06Subscriptions & Payments

Fees: You agree to pay the fees applicable to your subscription plan. Fees are non-refundable, except as set out in these Terms and the DPA.

Billing: If you subscribe to a paid tier, you authorize us (or our third-party payment processor) to charge your payment method on a recurring basis.

Changes: We may change our pricing with at least 30 days’ notice by email. If you do not accept the change, you may terminate the Service before the change takes effect, and we will refund prepaid fees for the period after termination.

07Data Protection & Privacy

Our Privacy Policy explains how we process personal data about you and your users as controller.

Data Processing Agreement (DPA): When you use the Service to process personal data, for example about callers and contacts, you act as the controller and Threll.ai acts as your processor. Our DPA forms part of these Terms and applies to that processing.

08Acceptable Use Policy

You agree NOT to use the Service to:

• Generate content that is illegal, harmful, threatening, defamatory, or sexually explicit.
• Create “deepfakes” or impersonate others without their explicit consent.
• Engage in harassment, spam, or calls that breach the rules described under Calls & Compliance.
• Call from or display a telephone number that you are not entitled to use.

09Termination

By You: You may stop using the Service and close your account at any time.

By Us: We may terminate the Service with 30 days’ notice. We may suspend or terminate your access immediately if you materially breach these Terms, in particular the Acceptable Use Policy or your payment obligations, or where necessary to prevent harm or comply with the law.

Effect of Termination: Upon termination, your right to use the Service ceases. If we terminate the Service, you may request an export of your data within 14 days. We delete your data as described under “Deletion and Return of Data” in the DPA.

10Disclaimer of Warranties

The Service is provided “as is” and “as available”. To the extent permitted by law, we give no warranties other than those expressly set out in these Terms. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11Limitation of Liability

Threll.ai is not liable for indirect or consequential loss, such as loss of profits or revenues. Our total liability for all claims relating to the Service is limited to the greater of (a) NOK 1,000 and (b) the fees you paid to Threll.ai in the 12 months preceding the event giving rise to the claim.

These limitations do not apply to loss caused by gross negligence or wilful misconduct, or where liability cannot be limited by law.

12Indemnification

You agree to indemnify Threll.ai AS and its officers, directors, and employees against claims brought by third parties, and against the resulting liabilities, damages, and expenses (including reasonable legal fees), arising out of (a) your use of the Service in breach of these Terms or applicable law, including the rules described under Calls & Compliance, or (b) your Customer Data.

13Changes to These Terms

We may update these Terms. We will notify you of material changes by email at least 30 days before they take effect. If you do not accept a change, you may terminate the Service before the change takes effect, and we will refund prepaid fees for the period after termination.

14Governing Law & Jurisdiction

These Terms are governed by the laws of Norway, without regard to its conflict of laws principles.

Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Oslo District Court (Oslo tingrett).
